Terms of Service

Governs use of all Elucide Softech products and elucidesoft.com

1 Acceptance of Terms

By purchasing, downloading, installing, or using any Elucide Softech product, you agree to be bound by these Terms of Service and our Privacy Policy. If you are acting on behalf of a company, you represent that you have authority to bind that entity. If you do not agree, do not use our products.

2 Definitions

  • “Elucide” means Elucide Softech Private Limited.
  • “Products” means all software sold via elucidesoft.com including CalibTrack, ClearToRun, CPMS, SSTMS, and future products.
  • “Subscription” means an annual recurring licence to use a Product.
  • “Lemon Squeezy” means Lemon Squeezy, our Merchant of Record for all software purchases.
  • “Local Data” means all operational data you store in our applications on your own device.

3 Licence Grant

Subject to payment and compliance with these Terms, Elucide grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the purchased Product for your internal business operations at one site.

3.1 Annual Subscriptions

All Products are sold as annual subscriptions. Access terminates on expiry unless renewed. Your Local Data is retained on your device and is fully accessible upon renewal.

3.2 Lite vs Pro Editions

Where products offer Lite (Windows only) and Pro (Windows + Android) editions, your licence covers the edition purchased. Upgrading from Lite to Pro requires purchase of a Pro subscription.

3.3 Independence of Products

Each Product is licenced independently. The addition of new products to our portfolio has no effect on your existing licence, data, or subscription.

4 Permitted Use

  • Use Products for internal quality, maintenance, calibration, and testing operations at your licensed site
  • Generate reports and records for internal use and regulatory compliance
  • Train your own employees on use of the software
  • Back up and restore your Local Data using the built-in backup function

5 Prohibited Use

  • Sublicense, resell, rent, or transfer the software or licence to any third party
  • Reverse-engineer, decompile, or attempt to extract source code
  • Use the software to process data on behalf of third parties as a service bureau
  • Share licence keys with unauthorised users or across multiple sites without a multi-site licence
  • Use the software in any way that violates applicable laws or regulations
  • Circumvent any licence enforcement or access control mechanism

6 Payments & Billing

6.1 Payment via Lemon Squeezy

All purchases are processed by Lemon Squeezy as Merchant of Record. Lemon Squeezy handles VAT/GST and payment compliance globally.

6.2 Annual Billing Only

All subscriptions are annual. Subscriptions auto-renew unless cancelled before the renewal date via the Lemon Squeezy customer portal.

6.3 Price Changes

We will give existing subscribers 30 days advance notice of price changes via email. Changes take effect at next renewal.

6.4 Taxes

Prices exclude VAT/GST. Applicable tax is added at Lemon Squeezy checkout based on your billing location.

6.5 Refunds

Governed by our Refund Policy, which forms part of these Terms.

7 Intellectual Property

All software, design, documentation, and content produced by Elucide remain the exclusive intellectual property of Elucide Softech Private Limited. These Terms do not transfer any ownership rights to you. “CalibTrack”, “ClearToRun”, “CPMS”, “SSTMS”, and “Elucide” are trademarks of Elucide Softech Private Limited.

8 Your Data

You retain full ownership of all Local Data you enter into our Products. Elucide does not claim ownership over your data. There is no technical interaction between Elucide and your installed application — your data stays on your premises. See our Privacy Policy for full details.

9 Warranties & Disclaimers

Elucide warrants that its Products will perform materially in accordance with their documentation under normal use. Except as expressly stated, Products are provided “as is” without warranties of fitness for a particular purpose, uninterrupted operation, or compliance with any specific regulatory standard without your own validation. You are responsible for validating the software against your applicable standards (ASTM, ISO, IATF, etc.) in your specific context.

10 Limitation of Liability

To the maximum extent permitted by law, Elucide’s total liability shall not exceed the total amount you paid in the 12 months preceding the claim. Elucide is not liable for indirect, consequential, or punitive damages, loss of data, or third-party service failures including Lemon Squeezy.

11 Termination

You may terminate by cancelling your subscription. We may suspend or terminate access immediately if you materially breach these Terms or engage in fraudulent activity. Upon termination, your licence ends. Sections 7, 9, 10, and 12 survive termination.

12 Governing Law

These Terms are governed by the laws of India. Disputes are subject to the exclusive jurisdiction of the courts of Tamil Nadu, India.

13 Changes to These Terms

For material changes, we will give at least 30 days advance notice via email. Continued use after the effective date constitutes acceptance.
